Conference Sponsorship Agreement

II. The contract form and these general conditions constitute the entire agreement between the parties. Each party confirms that it did not rely on prior assurances or negotiations to conclude this agreement. x. X. Apart from the advertising made by the sponsor on its own stand in the normal course of business, any other advertising somewhere in the event is strictly prohibited. The distribution or issuance of posters, flyers or printed circulars or other items by the Promoter, with the exception of the Sponsor, on its own stand, is prohibited, unless this has been previously made incomprehensible in writing with the Promoter. The Promoter hereby acknowledges that the Cancellation Fee is a reasonable estimate of the likely losses and costs that would result to the Organizer from the Sponsor`s cancellation and that they do not constitute a penalty. For the avoidal of doubt, the Organizer is not required to reduce its losses and/or costs in such circumstances and the cancellation fee remains due even if the Organizer is able to resell the referral item. In the event of an opposition between the various documents forming this contract between the parties, the following order of priority applies: The organizer may accept or refuse, at its discretion, the sponsorship application submitted by the promoter through a signed sponsorship contract. . .
